I am interested in the broad definition of corporate governance. Shleifer & Vishny define corporate governance as the ways in which suppliers of finance to corporations assure themselves of getting a return on their investment. Using a broad perspective on the finance and franchise issues, my future research in finance focuses on the corporate governance as the system of laws, rules, and factors that control operations at a company. The contribution of the corporate governance in franchising research captures the essence of the relationship with a ‘company within the company’ finding in addition to a dual agency setting.
The governing of listed companies the Anglo-American way is done by laws and regulations, the board of directors, capital markets i.e. finance, and accounting firms providing audit. Corporate governance has come to grow as a field of research with insights into the mechanisms and intuitions that govern listed companies. Ever since 1933 the Securities and Exchange Commission (SEC) has been a strong federal oversight of listed companies. Over many years the SEC developed demanding governance rules for companies listed in the US. To understand corporate governance one must also take into account the economic system in general and the capital market's role traditionally in the areas of economics. However, it is also important to have knowledge of the law with regard to legislation, regulations and standards as well as in business when it comes to understanding governance.
